Official Notice Regarding New Institutional Communication Channels and Clarification of Corporate Authority
Dear Partners, Collaborators and All Interested Parties:
JKN Universe LLC (“the Company”) issues this notice to its partners, licensees, sponsors, collaborators and all interested parties to announce new official communication channels and to clarify the corporate standing of certain individuals who have purported to speak, act, and publish on the Company’s behalf without authorization from the Company’s recognized management.
1. New Official Channels. The Company’s domain missuniverse.com, together with its associated official Facebook and X (Twitter) accounts, is currently being operated without the authorization of the Company’s recognized management. Effective immediately, the Company’s official communications will be issued exclusively through its new website, missuniverseorg.com, which will also serve as the channel for verifying authorized representatives and any authorization to use the Company’s marks. Communications issued through the previously referenced channels have not been authorized by the Company, and no such communication should be treated as official or binding on the Company. Any party in doubt as to the authenticity of a communication should seek written confirmation from one of the authorized representatives listed in Section 10 below.
2. Individuals Without Corporate Authority. Mr. Monil Ravindra Hathi and Mr. Pavan Misra have never been appointed as directors, officers, or authorized signatories of the Company by any valid corporate action. The Company disputes the validity of any resolution, affidavit, power of attorney, or other instrument purporting to confer such authority upon them and does not recognize any act taken by either of them in the Company’s name.
3. Disputed Claim of Share Acquisition. The Company understands that Mr. Hathi and Mr. Saravanan Mohan have represented to third parties that they are directors of an entity that has acquired the fifty percent (50%) interest in JKN Legacy Inc. previously held by JKN Global Group. No instrument, resolution, or filing evidencing any such transfer appears in the records of the Company or, to the Company’s knowledge, of JKN Legacy Inc. Any such transfer would in any event be subject to the transfer restrictions and rights of first refusal set forth in documents of the JKN Legacy Inc. shareholders’ agreement, which have not been satisfied. The Company disputes the validity of the purported acquisition, does not recognize it, and reserves all rights with respect to it. No person claiming rights under the purported acquisition should be treated as a shareholder or representative of JKN Legacy Inc. or of the Company without written confirmation from the representatives listed in Section 10.
4. Legacy Holding Group, S.A. de C.V. (El Salvador) Is Not Affiliated With Legacy Holding Group USA Inc. The Company understands that Legacy Holding Group, S.A. de C.V., an entity organized in El Salvador, is associated with Mr. Hathi and Mr. Mohan. That entity has no corporate, contractual, or other legal relationship with Legacy Holding Group USA Inc. — the holder of fifty percent (50%) of the shares of JKN Legacy Inc. — or with the Company or the Miss Universe Organization. Notwithstanding the similarity of names, no affiliation exists, and partners and interested parties should not infer any such affiliation.
5. Instruments Executed Without Corporate Authorization. The Company has become aware that contracts and other instruments have been executed in its name by, or at the direction of, Mr. Hathi and Mr. Misra. The Company did not authorize those instruments, disputes their validity and enforceability, and reserves all rights and defenses with respect to them. Any partner, licensee, or counterparty presented with an agreement executed in the Company’s name by or at the direction of these individuals should obtain written confirmation of signing authority from a representative listed in Section 10 before relying on it or rendering performance under it.
6. Unauthorized Publications and Payment Instructions. Statements purporting to be made on behalf of the Miss Universe Organization have been published on social media and other channels by, or at the direction of, Mr. Hathi and Mr. Misra. Those publications were not authorized by the Company and do not reflect its position. Certain of those publications included bank account details. Those accounts are not accounts of the Company and are not controlled by it. No payment instruction issued through the channels referenced in Section 1 should be followed without prior written confirmation from an authorized representative listed in Section 10.
7. Reservation of Rights. The Company rejects the unauthorized acts described in this notice and expressly reserves all rights and remedies available at law or in equity, in every relevant jurisdiction, against any person or entity responsible for, or participating in, those acts, including the individuals identified in this notice.
8. Position Regarding Mr. Nawat Itsaragrisil. Mr. Nawat Itsaragrisil’s only role in connection with the Miss Universe Organization is as a national director under a national license. He holds no office, ownership interest, or corporate authority in the Company, and he has no authorization to speak or act on the Company’s behalf. Any statement or representation in which Mr. Itsaragrisil has been presented, or has presented himself, as holding any broader position, authority, or mandate within the Miss Universe Organization was not authorized by the Company and should not be relied upon. The Company is reviewing the circumstances under which the national license was granted, including the authority of the person or entity that purported to grant it, and reserves all rights in that regard.
9. Leadership and Continuity. The Miss Universe Organization continues under the leadership of Raúl Rocha Cantú, President of the Company, together with its executive management team. The existence of a dispute concerning a purported shareholding interest — an acquisition the Company does not recognize — does not affect the Organization’s leadership, operations, or direction, or the Company’s performance of its commitments to its partners and licensees.
10. Verification of Authorized Representatives. All official communications from the Company must be confirmed exclusively through the following authorized representatives:

• Sebastián Figueroa Berducido – Legal Director, Miss Universe Americana LLC / JKN Universe LLC
• María José Unda – Vice President of International Relations, JKN Universe LLC
